2.Acceptance of Terms
This is a binding agreement (“Agreement”) between CognitiveBotics Technologies Private Limited (“Company” or “COGNITIVEBOTICS” or “We” or “Our(s)”) and you, the user (“You” or “Your(s)”), and governs your use of all portions of the Platform and any associated material or functionality contained on the Platform. The Platform is offered to You conditioned on Your acceptance of the terms and conditions contained herein. By accessing and using the Platform, you accept and agree to be bound by these terms of use contained hereunder (“Terms”). We reserve the right to modify these Terms at any time as we deem appropriate. Any modifications will be effective and be binding immediately upon posting on our Platform, unless otherwise indicated. COGNITIVEBOTICS has no duty or obligation to inform prior users of the Platform that changes have been made, regardless of the scope and importance of the changes. Further, we may change, restrict access to, suspend, or discontinue the Platform or any portion thereof at any time.
Your continued use of the Platform following such notice constitutes your acceptance of such changes. If you do not agree to these terms, immediately stop accessing the Platform.

Users are encouraged to seek professional advice when necessary.
The medical, scientific, legal, reimbursement and general information included on the Platform may reflect innovations and opinions not universally shared and does not necessarily reflect the view of COGNITIVEBOTICS. 5.No Guarantee of Results
The Platform makes no claims, representations or guarantees that the digital learning services provide guaranteed learning benefits; everyone progresses at their own pace and individual success may vary based on a myriad of factors.
6.Registration and Account
Certain features or services offered on or through the Platform require a user identification and password to access and use, and certain services may require additional codes. You are solely responsible for: (a) providing accurate and up-to date information, and maintaining the strict confidentiality of the user identification, passwords and codes (“Member Information”) assigned to You; (b) charges, damages or losses that may be incurred or suffered as a result of Your or Your personnel’s failure to maintain the strict confidentiality of Member Information; (c) promptly informing COGNITIVEBOTICS in writing of any need to deactivate or replace any Member Information due to security concerns. COGNITIVEBOTICS is not liable for any harm related to the theft of Your Member Information, Your disclosure of Your Member Information, or Your authorization to allow another person or entity to access and use the Members Only Site (defined hereunder) using Your Member Information. You agree to notify COGNITIVEBOTICS immediately as soon as You become aware of any unauthorized use of Your Member Information. Notice to COGNITIVEBOTICS under this section of the Agreement may be accomplished by sending e-mail to support@cognitivebotics.com.
We do not guarantee that our site will be secure or free from bugs or viruses.
You are responsible for configuring your information technology, computer programmes and platform to access the Platform. You shall use your own virus protection software.
You shall not misuse our site by knowingly introducing viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful. You must not attempt to gain unauthorised access to our site, the server on which our site is stored or any server, computer or database connected to our site. You must not attack our site via a denial-of-service attack or a distributed denial-of service attack. By breaching this provision, you would commit a criminal offence under applicable law. We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use our site will cease immediately.
7.Use of Content; Conduct
All content on the Platform is for personal learning. Any unauthorized reproduction, distribution, or commercial use without written consent is prohibited.
You represent and warrant to COGNITIVEBOTICS that You will not use the Platform: (a) for any unlawful purpose or in any manner prohibited by this Agreement; or (b) in any manner which could damage, disable, overburden or impair the Platform or interfere with any other party’s use and enjoyment of the Platform; and (c) in any way that is unlawful or fraudulent, or has any unlawful or fraudulent purpose or effect.
The COGNITIVEBOTICS Log In portion of the Platform (“Members Only Site”) will be accessible only to subscribing members of the Platform (“Members”) and is governed by the terms and conditions contained herein.
Further, you agree not to:
(a) Send, publish, post, upload, distribute or disseminate any information that may violate antitrust law, including without limitation past, current, or future fees; fee discounts provided; terms of credit; price and pricing information; inventory; commission information; profit information, including what is a reasonable or fair profit margin;
(b) Upload information that contains material protected by intellectual property laws, including without limitation material protected by patent, copyright, trademark (such as COGNITIVEBOTICS’s logo), or trade secrets, or by rights of privacy of publicity unless You own or control the rights thereto or have received all necessary consents;
(c) Falsify or delete author attributions, legal or other proper notices or proprietary designations indicating the origin or source of information that is uploaded or used from the Platform;
(d) Send, publish, post, upload, distribute or disseminate any inappropriate, threatening, abusive, profane, defamatory, infringing, obscene, indecent, or otherwise objectionable materials, or any materials which encourage conduct that would constitute a criminal offense, give rise to civil liability or violate any law, or contain any advertising or any solicitation with respect to products or services;
(e) Harass, abuse, threaten or otherwise violate any legal rights of others;
(f) Attack, ridicule, denounce, impugn a person’s character, or impute immoral or dishonourable attributes to members on the basis of race or ethnicity, gender, age, religion, national origin, disability, or sexual orientation;
(g) Upload viruses, corrupted files or any other software or information that may damage the operation of another’s computer or network;
(h) Use the Platform for commercial purposes, including, but not limited to, advertisements, promotions, offers to buy or sell goods or services, surveys, contests, pyramid schemes, or sponsorship banners;
(i) Use the Platform to forward chain mails/letters;
(j) Violate any of the Platform’s policies, guidelines or other codes of conduct which are applicable to the Platform or in particular to one of COGNITIVEBOTICS’s web services;
(k) Reproduce, re-transmit or re-present in any form, in whole or in part, any content, programming code, images or graphics without express written permission of COGNITIVEBOTICS;
(l) Frame, squeeze back, overlay or employ other techniques to enclose or display the the Platform, or any trademark, logo, content or other proprietary information (including images, text, page layout, or form) included on the Platform, with any other software or content of a third party;
(m) Use any meta tags or any other “hidden text” utilizing the names or trademarks of COGNITIVEBOTICS without its prior written consent;
(n) Access, monitor or copy any content or information of this Website using any “robot”, “spider”, “deep link”, “scraper” or other automated means, methodology, algorithm or device or any manual process for any purpose;
(o) Disrupt Platform operations; and/or
(p) Violate any local, state, or international laws.
COGNITIVEBOTICS has no obligation to screen or monitor the Platform. However, COGNITIVEBOTICS reserves the right to review information or materials posted to the Platform, to remove any such information or materials in its sole discretion, and to use any other forms of information available to us by virtue of Your use of the Platform. COGNITIVEBOTICS reserves the right at all times, in its sole discretion, to refuse to post, delete, move, edit or to remove any information or materials from the Platform, including without limitation any information or materials posted through use of the Platform, regardless of whether such material does or does not violate this Agreement or any of COGNITIVEBOTICS’ policies, guidelines, or other codes of conduct which are applicable to the Platform or in particular to one of COGNITIVEBOTICS’ web services.
COGNITIVEBOTICS does not control or endorse the content, messages or information found in any portion of the Platform, and COGNITIVEBOTICS specifically disclaims any liability with regard to the Platform. COGNITIVEBOTICS does not endorse or otherwise verify the accuracy, truthfulness or reliability of any information provided on the Platform unless it is provided by an authorized COGNITIVEBOTICS spokesperson. Any statements made on the Platform reflect only the views of their authors, and your reliance on any such content is at your own risk. The Platform will be managed or hosted by employees or members of COGNITIVEBOTICS, who are not authorized COGNITIVEBOTICS spokespersons, and their views or actions in managing or hosting the Platform do not necessarily reflect those of COGNITIVEBOTICS.
The Platform may include information and materials uploaded by other users of the site, including to bulletin boards and chat rooms. 8.Cancellation and Refund
(a)No Cancellation. Once a purchase is made and payment is completed, cancellations are not
permitted. Customers are advised to carefully review their order before

(b)No Refund. We do not offer refunds for any products or services after the purchase has been completed. All sales are final.
(c)Exceptions. In exceptional cases, COGNITIVEBOTICS may, at its sole discretion, consider refund requests. Such requests must be submitted in writing to support@cognitivebotics.com and will be reviewed on a case-by-case basis.
(d)Special Circumstances. In the event of unforeseen circumstances (such as technical errors or issue our part), COGNITIVEBOTICS reserves the right to rectify the situation by providing an extension or an alternative resolution.

If a product offered by COGNITIVEBOTICS on the Platform is not as described, your sole remedy is to return it pursuant to our Quality Guarantee. All items purchased from COGNITIVEBOTICS are made pursuant to a shipment contract. This means that the risk of loss and title for such items pass to you upon our delivery to the carrier.
10.Termination
We reserve the right to terminate or suspend access to the Platform without prior notice for any breach of these Terms.
You may deactivate your account and end the registration with COGNITIVEBOTICS at any time, for any reason by sending an email to support@cognitivebotics.com provided that such termination shall not absolve You of any liability towards COGNITIVEBOTICS arising from Your use of the Platform.
Provisions of this Agreement which by their nature survive termination or expiration, including but not limited to the representations and warranties contained herein, shall survive any termination of this Agreement,.

Our platform may contain links to external websites that are not provided or maintained by or affiliated with COGNITIVEBOTICS and does not imply endorsement by COGNITIVEBOTICS of the sites or any association or relationship with its operators. Please note that we do not guarantee the accuracy, relevance, timeliness, or completeness of any information on these external websites. Your use of third-party websites and any purchases of products or services from such third-party websites are subject to the terms and conditions of such third party websites. You agree that you will bring no suit or claim against COGNITIVEBOTICS arising from or based upon any such use of third-party websites, including, without limitation, websites that we link to from the Platform.
12.Technological Limitations
While we strive for the Platform to be continuously accessible, we cannot guarantee uninterrupted access due to factors like maintenance, updates, or unforeseen technical issues beyond our control.
13.Intellectual Property
COGNITIVEBOTICS, its technology, computer programs, codes, all information available thereon, images, logos, trade names, domain names, service marks and other materials on it, including the look and feel of the Platform are the exclusive intellectual property of COGNITIVEBOTICS and/or its affiliates.
Any unauthorized reproduction, republication, distribution, display, transmission, sale, or any other use and/or duplication of any material available on Platform, without express and written approval of COGNITIVEBOTICS, shall constitute violation of the relevant intellectual property laws. COGNITIVEBOTICS and its associates reserve the right to initiate and pursue any and all necessary legal and/ or other action against any such user for infringement of IAMX and/ or its associates’ intellectual property.
COGNITIVEBOTICS respects the intellectual property rights of the third parties. If such third parties believe that any material on the Platform infringes their intellectual property rights, they may write to COGNITIVEBOTICS through an email to support@cognitivebotics.com.

The compilation of the content on the Platform is the exclusive property of COGNITIVEBOTICS and is protected by the copyright laws of the Republic of India and other countries, as applicable.
COGNITIVEBOTICS does not claim ownership of the individual materials or information You may provide to COGNITIVEBOTICS, including without limitation feedback, suggestions, posts, uploads, inputs, or submissions (collectively, a “Submission”) to the Platform. However, if You provide a Submission, You: (a) represent and warrant that You own or otherwise control all of the rights to Your Submission including, without limitation, all the rights necessary for You to provide, post, upload, input or submit the Submission and license or sublicense the Submission; and (b) grant COGNITIVEBOTICS, its affiliated entities and necessary sublicensees a nonexclusive, irrevocable, worldwide, sub-licensable, transferable, perpetual, unlimited, assignable, fully paid up and royalty-free right to copy, display, edit, publish, prepare derivative works of, distribute, process, analyse, use and commercialize, in any way now known or in the future discovered, such Submissions (or any content or materials contained therein), including without limitation the rights to publish Your name in connection with Your Submission. You may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products or services obtained from the Platform, without the prior written permission of COGNITIVEBOTICS. Please refer to the copyright statement for further information and for details on requesting permission to reuse our content.
COGNITIVEBOTICS grants You the limited and nonexclusive right and license to access or download content from the Platform solely for Your personal and non-commercial use and as necessary in connection with the use of any services available through the Platform. Except as expressly authorized in this Agreement, You may not modify, distribute, reproduce, display, or use the Platform or any elements thereof. Further, nothing in this Agreement or its performance shall grant You any right, title, interest, or license in or to COGNITIVEBOTICS’ names, logos, logotypes, trade dress, designs, or other trademarks.

15.Repeat Infringer Policy and Copyright Complaints
In accordance with the Digital Millennium Copyright Act (DMCA) and other applicable laws COGNITIVEBOTICS has adopted a policy of terminating, in appropriate circumstances and in COGNITIVEBOTICS’ sole discretion, accounts deemed to be repeat infringers. COGNITIVEBOTICS may also, in its sole discretion, limit access to the Platform and/or terminate any account used in connection with the infringement of any intellectual property rights, whether or not there is repeat infringement. If you believe that any user of the Platform or any account holder has engaged in repeat infringement of your copyrighted materials on or in connection with the Platform, you may provide our designated agent with information about your allegations of repeat infringement.
If you believe, in good-faith, that anything on the Platform infringes any copyright that you own or control, you may file a written notification of alleged copyright infringement with our designated agent that contains the following:
(a) A physical or electronic signature of a person authorized to act on behalf of the owner of a right that is allegedly infringed;

(v) A statement that the counter-notifying party will accept service of process from the person who provided COGNITIVEBOTICS with notification or an agent of such a person.

The Platform may contain links to third-party websites. The third-party websites are not under the control of COGNITIVEBOTICS, and COGNITIVEBOTICS is not responsible for the contents of any third-party websites, and the inclusion of any link is as a convenience and does not imply endorsement by COGNITIVEBOTICS of the sites or any association or relationship with its operators. Your use of third-party websites and any purchases of products or services from such third-party websites are subject to the terms and conditions of such third-party websites. You agree that you will bring no suit or claim against COGNITIVEBOTICS arising from or based upon any such use of third-party websites, including, without limitation, websites that we link to from the Platform.
17.Information Security
COGNITIVEBOTICS acknowledges that it employs industry standard security protocol and/or reasonable security standards as per the laws governing information technology and/or data protection and privacy to ensure that the information that are stored, transmitted or transferred through the Platform is protected and the same is hosted on a secure server.
COGNITIVEBOTICS shall not be held responsible for any loss of your information that takes place despite following standard security protocol and/or reasonable security standards.
In order to keep your account safe, you agree to maintain the confidentiality of the username and password, and to change the password of the Account periodically.
You shall be solely responsible for maintaining the confidentiality of the username and password, and for all activities done using the Account.
18.Indemnification
You agree to indemnify COGNITIVEBOTICS from and against any and all liabilities, expenses (including without limitation attorneys’ fees) and damages arising out of claims based upon your use of the Platform, including without limitation any claim of libel, defamation, violation of rights of privacy or publicity, loss of service by other members, and the infringement of intellectual property rights or other rights. COGNITIVEBOTICS will notify you of any claim for which COGNITIVEBOTICS seeks indemnification and will afford you the opportunity to participate in the defense of such claim, provided that your participation will not be conducted in a manner prejudicial to COGNITIVEBOTICS’ interests, as reasonably determined by COGNITIVEBOTICS at its sole discretion.
19.Limitation of Liability

Your sole and exclusive remedy if you are dissatisfied with any portion of COGNITIVEBOTICS’s Website is to discontinue using COGNITIVEBOTICS’s Website.
Under no circumstance shall we be held liable for any direct, indirect, special, incidental, or consequential damages, including, but not limited to, loss of profit, business interruption, or loss of data, arising out of or in connection with the use or inability to use our platform, whether based on contract, tort, negligence, strict liability or otherwise, even if COGNITIVEBOTICS has been advised of the possibility of damages.

20.Privacy Policy
The Platform shall be operated in accordance with its Privacy Policy, which is incorporated into this Agreement by this reference and which may be viewed by following this link to the Privacy Policy. BY CONSENTING TO THESE TERMS, YOU CONSENT TO THE PRIVACY POLICY.
21.Governing Law
This Agreement shall governed by and construed in accordance with the laws of the Republic of India You hereby consent to the exclusive jurisdiction and venue of courts in Hyderabad, Telangana State, in all disputes arising out of or relating to the use of the Platform. Use of the Platform is unauthorized in any jurisdiction that does not give effect to all provisions of these terms and conditions, including, without limitation, this paragraph.
22.No Relationship
You agree that no joint venture, partnership, employment, or agency relationship exists between You and COGNITIVEBOTICS as a result of this Agreement or use of the Platform.
23.Construction
If any part of this Agreement / Terms is determined to be invalid or unenforceable pursuant to applicable law including without limitation the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision, and the remainder of the Agreement shall continue in effect.
24.Non-Repudiation
Any and all actions undertaken by You on the Platform shall be deemed as actions approved by You including but not limited to transfer/change of passwords and COGNITIVEBOTICS shall not have any liability towards such actions.
25.Entire Agreement
Unless otherwise specified herein, this Agreement constitutes the entire agreement between You and COGNITIVEBOTICS with respect to the Platform, and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between You and COGNITIVEBOTICS with respect to the Platform.
26.Assignment
COGNITIVEBOTICS may assign this Agreement, in whole or part, in its sole discretion. You agree not to assign, transfer or sublicense Your rights as a Member without the prior written consent of COGNITIVEBOTICS.
27.Notices
Notices given by COGNITIVEBOTICS to You will be given by a general posting on the Platform or by an e-mail, if an e-mail address is available.
28.Captions and Headings
Captions and paragraph headings are for convenience only and are not a part of this Agreement and shall not be used in construing it.

COGNITIVEBOTICS determines list price and categories for placement, unless deemed inappropriate by COGNITIVEBOTICS Technologies Pvt. Ltd.
